These Terms & Conditions (the “Terms”) outline the rules and regulations for use and access of all contents and information available within our, Orsho website, available at https://orsho.com  (the “Site,” “Website”).  These Terms constitute a binding legal agreement between you, the user or customer, and us, Orsho Natural Skin Care LLC.

By accessing this Website, we assume you accept the Terms.

Do not continue to use the Website if you do not agree with the Terms stated on this page. By using the Website, also, you acknowledge that you ARE AT LEAST the age of majority in your jurisdiction AND accept the TERMS set forth herein. If you ARE NOT AT LEAST the age of majority in your jurisdiction, you may not access the Site.

The following terminology applies to these Terms and Conditions, Privacy Policy or other Agreements from this Website: “Client”, “Customer”, “You” and “Your” refers to you, the person log on this Website and compliant to the Company’s terms and conditions. The “Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company, Orsho Natural Skin Care LLC.
“Party”, “Parties”, or “Us”, refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

It is your responsibility to review these Terms periodically. We may revise these Terms at any time.

The Effective Date of these Terms is set forth at the top of this webpage. Changes will be posted to this webpage. We encourage you to return to this webpage frequently so that you are aware of our current Terms. Your continued use of the Site after the Effective Date constitutes your acceptance of the amended Terms. The amended Terms supersede all previous versions.

  1. Governing Law

Your use of the Site shall be governed in all respects by the laws of the State of Michigan, U.S.A., without regard to choice of law principles. Further, you and we agree to the jurisdiction of a state or federal court in the State of Michigan to resolve any dispute, claim, or controversy that relates to or arises in connection with these Terms (and any non-contractual disputes and/or claims relating to or arising in connection with it) and that is not subject to mandatory arbitration under these Terms.

  1. Account registration

You may register an account on the Site. To register, you must use your valid email address and create a password. You agree that the information you provide to us during the registration process and at all other times when you use the Site is accurate, current, and complete, and that you will keep it up-to-date at all times. If you provide any information that is, or that Orsho has reasonable grounds to suspect is, untrue, inaccurate, not current, or incomplete, Orsho has the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). You may update such information as necessary at any time by going to My Account and making the necessary changes.

You are the sole authorized user of any account you create through the Site and are solely and fully responsible for all activities that occur under your account. You may not authorize others to use your accountholder status, and you may not assign or otherwise transfer your account to any other person or entity. You understand and agree that we may require you to provide information that may be used to confirm your identity and help ensure the security of your account.

Orsho will not be liable for losses, damages, liability, expenses, and fees arising from someone else using your account. You are solely responsible for protecting the security and confidentiality of your password and identification. You shall immediately notify us of any unauthorized use of your password or identification or any other breach or threatened breach of this Site’s security.

Cookies We employ the use of cookies. By accessing the Website, you agreed to use cookies in agreement with the Orsho’s Privacy Policy.

Most interactive websites use cookies to let us retrieve the user’s details for each visit. Cookies are used by our website to enable the functionality of certain areas to make it easier for people visiting our website. Some of our affiliate/advertising partners may also use cookies.

From time to time, we may send you marketing emails and notifications on your mobile device promoting our products, special offers, or our newsletter. You may unsubscribe from Orsho marketing emails and newsletters at any time by clicking the unsubscribe link at the bottom of any email sent by us.

We reserve the right to change any information, features and functions of the Site. We may refuse service, cancel orders, terminate accounts and/or deny access to any or all parts of this Site if you engage in any conduct or activities that violate these Terms, our rights or the rights of any third party. Use of the Site for any illegal or unauthorized purpose is strictly prohibited. We reserve the right to cancel orders due to suspected fraudulent activity in our sole discretion. The sale or linking of our products on or to any third-party e-commerce site, marketplace or mobile application without our specific written consent is prohibited.

  1. Purchases, Billing and Payments

All products offered for purchase on the Site are subject to availability. The prices stated for such products are subject to change without notice.

We accept the following method of payments: Visa, MasterCard, American Express, Discover and Paypal. Payment will be processed by Orsho’s independent third-party payment processor, using the payment method you designate. We do not store your bank or credit card information on our Site.

Orsho reserves the right, at our sole discretion, to cancel or refuse any order for any reason at any stage of the online ordering process, including after an order has been submitted and whether or not the order has been confirmed. Unless otherwise agreed to by Orsho, payment must be received by Orsho prior to acceptance of an order. Notwithstanding the foregoing, we may in our sole discretion choose not to charge your credit card until your order has been shipped. Some situations that may result in cancellation include limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or problems identified by our independent third-party payment processor. We will attempt to contact you if all or any portion of your order is cancelled, or if additional information is required to accept your order.

If your payment method is declined, we will attempt to process your charge until the transaction is approved. If we are unable to complete the transaction, Client Services may contact you directly to update your payment information.

We are not responsible for any fees or charges that your bank or credit card issuer may apply. If your bank or credit card issuer reverses a charge to your credit card, we may bill your account directly and seek payment by another method including a mailed statement.

The risk of loss and title for items purchased by you, passes to you upon our delivery of the items to the carrier. Replacement of products and credits to your account for shipped merchandise claimed as not received are subject to our investigation, which may include postal-service notification.

If you would like to return an Orsho product, please contact Orsho at contact@orsho.com  or at (947) 223-5556. Returns are accepted within 30 days of you receiving the product, returning the products you purchased from our online store. Some return restrictions apply as noted in our full Returns & Shipping Policy. If you decide to return any of Orsho products, you are responsible for the costs to return. Please note you are responsible for paying the costs of shipping. We recommend using a return method that provides tracking, so you can ensure your return has reached us. Once your return has been received, we will refund your order for the cost of the products and applicable taxes only – the shipping cost will not be refunded.

You understand that products purchased by you and shipped to your designated location in the U.S. may be subject to applicable state or local sales or use tax, privilege tax, excise tax or similar transaction-based taxes (“Taxes”). The amount of Taxes is based on a number of factors, including but not limited to the amount of product purchased and your designated delivery address. Taxes and shipping costs are not included within the listed prices for products displayed on the Site but are included as a separate line item and will be displayed to you before confirmation of any purchase. You are responsible for paying the applicable purchase price for products purchased through the Site, including shipping costs, and paying applicable Taxes associated with the purchase and sale of the products.

  1. Security and Restrictions

You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, by (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) accessing or using the Site or any portion thereof without authorization; or (d) introducing any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

You agree not to use the Site:

  • In any way that violates any applicable federal, state, local or international law or regulation;
  • To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm us or users of the Site or expose them to liability;
  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site;
  • Use any robot, spider or other automatic device, process or means to access the Site for any purpose, including monitoring or copying any of the materials on the Site;
  • Use any manual process to monitor or copy any of the materials on the Site or for any other unauthorized purpose without our prior written consent;
  • Use any device, software or routine that interferes with the proper working of the Site; or
  • Otherwise attempt to interfere with the proper working of the Site.
  1. Warranty Disclaimer
  2. “As Is” and “As Available” Basis. All products and services provided through Orsho are provided on an “as is” and “as available” basis. To the fullest extent permitted by Michigan law, Orsho expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  1. No Guarantee of Specific Results. While we take great care in formulating our natural high-end face creams, we do not warrant or guarantee that the products will meet your specific expectations or produce any specific cosmetic result. Results may vary based on skin type, environmental factors, and individual usage.
  1. Cosmetic Use Only. We make no warranty that our products are intended for medical use. As stated in our Health Disclaimer Section below, our formulations are for cosmetic purposes only and are not intended to treat, cure, or prevent any skin condition or disease.
  1. Allergic Reactions and Sensitivities. Orsho does not warrant that our natural ingredients will be free from allergens for every user. We provide a full list of ingredients for each product; it is your responsibility to review these and perform a patch test. We are not responsible for any adverse reactions resulting from sensitivities to any ingredient, whether natural, organic, or botanical.
  1. Website Accuracy. We do not warrant that product descriptions, photographs, or other content on our website are 100% accurate, complete, or error-free. While we strive for professional accuracy, slight variations in the appearance of natural products (such as color or texture) are normal in natural skincare and do not constitute a breach of warranty.

 

  1. Ingredient Disclosure & Limited Warranty & Customer Remedy

A full list of ingredients is provided in the “Description” section of each product page. Also a full list of ingredients is disclosed on the outside packaging (paper box) of the product we ship to you. We encourage you to keep the outside packaging as long as you use the product in case you need to review the list of ingredients later. It is the customer sole responsibility to review the ingredients for potential allergens/sensitivities before use. By purchasing and using our products, you assume all risk regarding skin IRRITATION, sensitivities, allergic reactions, OR SKIN DAMAGE.

Orsho accepts no responsibility or liability for any adverse consequences resulting directly or indirectly from the use of our products. Contact your doctor immediately if you suspect that you have a medical problem or emergency.

Our company is not liable for any skin irritation, allergies, skin damage, personal injury, or medical expenses. Your exclusive remedy for any dissatisfaction is limited to a refund of the purchase price or a product replacement, at your option, within 30 days of purchase.

  1. Product Safety and Limited Warranty
  • Allergy Warning: Full ingredient lists are available for every product. It is your responsibility to screen these for personal allergens.
  • Assumption of Risk: The company is not liable for skin irritation, injuries, or any damages resulting from use. You use our products at your own risk.
  • Limited Remedy: If you are unsatisfied, our total liability is limited to a refund of the purchase price or a product replacement.
  • Time & Location: You must request your refund or replacement within 30 days. This offer is valid only in the United States and Canada.
  1. How to do a Skin Patch Test

Because our formulas feature potent botanical extracts and essential oils, we recommend a simple patch test before incorporating any new product into your daily routine. This ensures the ingredients are a perfect match for your unique skin chemistry.

Step 1: Choose a Test Area

Select a small, discreet patch of skin where the product is unlikely to be rubbed away. The inner forearm or the skin just behind the ear are the best locations for testing sensitivity.

Step 2: Application

Apply a small, pea-sized amount of the product to your chosen area. Keep the area dry and leave the product on for as long as you would during normal use (e.g., leave a moisturizer on all day).

Step 3: The Waiting Period

Wait 24 to 48 hours. Some allergic reactions are delayed, so it is important to give your skin enough time to respond.

Step 4: Check for Results

No Reaction: If the skin looks normal after 48 hours, you can proceed with using the product as directed.

Signs of Sensitivity: If you experience any redness, burning, itching, blistering, or irritation at any point during the test, wash the area immediately with cool water and discontinue use.

Important Note: A patch test is a precaution to identify immediate sensitivities to specific ingredients. It does not guarantee that a product will not cause a reaction on other areas of the body after prolonged use. If you have a known history of severe allergies, please consult a dermatologist before trying new botanical skincare.

III.         Product Disclaimer and Limitation of Responsibility

  1. Individual Sensitivity & Allergic Reactions Our products are formulated with botanical extracts, essential oils, and concentrated plant-based ingredients. While we provide full ingredient transparency, every individual’s skin chemistry is unique.
  • Customer Responsibility: It is your responsibility to review the full ingredient list provided in the product description before purchase.
  • Assumption of Risk: An allergic reaction or skin sensitivity to a correctly disclosed ingredient is not considered a product defect. By purchasing our products, you acknowledge that we are not liable for any adverse reactions, skin damage, or medical expenses resulting from personal sensitivities.
  1. Product Defects & Our Guarantee We stand behind the quality and integrity of our formulations. A “Product Defect” is defined as a significant deviation from the intended formulation, such as contamination, improper packaging seal, or the product being spoiled upon arrival.
  • Our Liability: If a product is found to be defective, our entire liability is limited strictly to the purchase price of the item.
  • Exclusive Remedy: In the event of a defect, your sole remedy is a refund of the price paid or a one-time replacement of the product, at your option.
  • Reporting: Defects must be reported within 30 days of the purchase date to be eligible for a remedy.
  1. Limitation of Liability

ORSHO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES THAT ARISE OR RESULT FROM THE ACCESS TO, OR USE OF OR THE INABILITY TO USE, THE SITE, SITE-RELATED SERVICES OR THE CONTENTS, INCLUDING BUT NOT LIMITED TO USER CONTENT AND THIRD-PARTY POSTS , EVEN IF ORSHO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, CONTENTS, INCLUDING BUT NOT LIMITED TO USER CONTENT OR THIRD-PARTY POSTS OR ANY SERVICES USED THROUGH THE SITE IS TO STOP USING THE SITE AND/OR THOSE SERVICES. IN ANY EVENT, YOU AGREE OUR MAXIMUM LIABILITY TO YOU WITH RESPECT TO YOUR USE OF THIS SITE, CONTENTS, INCLUDING BUT NOT LIMITED TO USER CONTENT OR THIRD-PARTY POSTS OR ANY SERVICES USED THROUGH THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). THE FOREGOING LIMITATIONS APPLY EVEN IF THE REMEDIES UNDER THESE TERMS OF USE FAIL OF THEIR ESSENTIAL PURPOSE.

  1. Typographical Errors

Any Orsho publication concerning our products may include inaccuracies or typographical errors. Orsho shall not be held responsible for any pricing, typographical, or other errors in such publications. Changes may be periodically made to these publications. Orsho may make improvements and/or changes in the products described in these publications at any time without notice.

In the event a product is listed at an incorrect price or within correct information due to typographical error or error in pricing or product information received from our suppliers, we have the right to refuse or cancel any orders placed for product listed at the incorrect price, whether or not the order has been confirmed and your bank or credit card charged. If your bank or credit card has already been charged for the purchase and your order is canceled, we will issue a credit to your bank or credit card account in the amount of the charge.

  1. Intellectual Property & Ownership Content

The Site, the technology underlying the Site and its Content is the property of Orsho and protected by copyright and other intellectual property or proprietary rights. The collective work includes works that are licensed to Orsho Natural Skin Care LLC, all rights reserved. The Content may not be copied, distributed, modified, reproduced, published or used, in whole or in part, except for purposes authorized or approved in writing by us. All rights not expressly granted herein are reserved to us and our licensors.

 

  1. Ownership of Content All content included on Orsho Site—including but not limited to text, professional product photography, botanical illustrations, brand biographies, product descriptions, research summaries, graphics, logos, and software—is the exclusive property of Orsho or its content suppliers and is protected by United States, Canadian, and international copyright, trademark, and intellectual property laws.
  1. Proprietary Botanical Research The specific descriptions of botanical synergies, ingredient efficacy, and aromatherapy formulations presented on this Site are the result of specialized professional education and research of the Orsho owners. This content is provided for informational purposes for Orsho customers only. The unauthorized copying, scraping, or redistribution of our proprietary ingredient research or “Ritual” guides is strictly prohibited.
  1. Limited License & Personal Use We grant you a limited, non-exclusive, and non-transferable access to view and use the Site for personal, non-commercial shopping purposes, to place an order with Orsho.

You May Not: Reproduce, distribute, display, or transmit any Orsho products or content for commercial use, including use on third-party marketplaces (e.g., eBay, Amazon) or social media for the purpose of brand imitation, without express written consent from the Company.

  1. Trademarks The “Orsho” name, logo, and custom botanical icons are trademarks of the Company. Use of these trademarks in connection with any product or service that is not ours, in any manner that is likely to cause confusion, or in any manner that disparages Orsho, is strictly prohibited.
  1. Indemnification

You agree to indemnify, defend and hold harmless Orsho, its officers, directors, employees, agents, licensors, representatives and suppliers from and against all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms, any activity related to use of the Site (including negligent or wrongful conduct) by you or any other person accessing the Site using your account or any content you submit, post, upload or transmit through the Site.

  1. Privacy

Registration data and certain other information about you collected through the Site are subject to our Privacy Policy, posted on our Site. You understand that the technical processing and transmission of this Site may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

We have no control over these linked websites or online services, each of which have separate privacy and data collection practices independent of Orsho. Orsho reserves the right to refuse to post, block or remove User Content from the Site for any reason in our sole discretion if you do not follow the terms of our policies. Orsho may terminate your access to or use of the Site to prevent further posting or distribution of User Content.

The contents of this site or User Content are for informational purposes only and do not constitute and is not intended to be a substitute for professional medical advice, diagnosis, or treatment.   1. Arbitration Agreement & Dispute Resolution
  2. Informal Resolution. Orsho is committed to resolving all disputes in a fair, effective and cost-efficient manner. Before filing any formal claim, you and Orsho agree to try to resolve the dispute informally. You may contact us at contact@orsho.com with a description of your concern. If we cannot reach a resolution within 45 days, either party may proceed with a formal claim as outlined below.
  3. Agreement to Arbitrate. You and Orsho agree that any dispute, claim, or controversy arising out of or relating to these Terms, the use of our Site, our products (including but not limited to face creams and skincare formulations, Body or bath products or cosmetics), or the breach, termination, or validity thereof, shall be settled by binding arbitration, rather than in court, as follows:

(a)         A party who intends to seek arbitration first, must send by U.S. certified mail, a personally signed written Notice of Dispute (“Notice”) to the other party.

A Notice of Dispute to you will be sent to the last known address we have for you on file.

The Notice of Dispute must:
(1) describe the nature and basis of the claim or dispute in detail and
(2) set forth the specific relief sought (“Demand”).

You agree to personally and directly discuss the Demand with us in good faith when we contact you, without undue delay, by video or phone conference with your attorney present if choose to be represented by a counsel.
If after this meeting you and we do not reach an agreement to resolve the claim within another 45 days after the Notice is received by us, or we have the meeting, whichever is later, you or Orsho may commence to an arbitration proceeding.

(b)         The arbitration will be governed by the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes (collectively, the “AAA Rules”) or Mass Arbitration Rules of the American Arbitration Association (the “AAA”), as applicable except as modified by these Terms, and will be administered by the AAA. The arbitrator shall be bound by these Terms. Unless you and we agree otherwise, any arbitration hearings will take place in the Oakland County, Michigan by an in-person hearing as established by the AAA Rules.  We both waive our right to proceed in arbitration by telephone.

(c)          Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings of fact and conclusions of law on which the award is based. You and we agree that any awards or findings of fact or conclusions of law made in an arbitration of their dispute or claim are made only for the purposes of that arbitration and may not be used by any other person or entity in any later arbitration of any dispute or claim involving Orsho, unless the claim fits within the mass arbitration criteria.

  1. Small Claims Court Exception. Notwithstanding the above, either party may bring an individual action in a small claims court of competent jurisdiction in the Michigan Small Claims Court, if the claim qualifies and remains in such court on an individual, non-representative basis.
  2. Governing Law and Forum. This Agreement is governed by the laws of the State of Michigan, without regard to conflict of law principles. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The place of arbitration shall be Oakland County, Michigan, unless otherwise agreed.
  3. No Medical Claims. You acknowledge that our products are formulated for cosmetic purposes only and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Any information provided on our Website regarding any ingredients used in Orsho formulations is for educational purposes only and does not constitute any medical advice. Any dispute involving the efficacy or use of the products shall be interpreted under the standards applicable to cosmetic products, not medical devices or pharmaceuticals.
  4. Class Action Waiver. YOU AND ORSHO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. You expressly waive your right to file a class action or seek relief on a class basis. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
  5. Costs of Arbitration. Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules. Each party shall bear its own attorneys’ fees and costs unless the arbitrator determines the claims are frivolous.

  2. Our Right to Terminate. We reserve the right, in our sole discretion and without notice or liability to you, to terminate your access to our Website, cancel pending orders, or deactivate your account for any reason. Reasons for termination may include, but are not limited to:
  • Policy Violations: Breach of these Terms and Conditions or our Privacy Policy.
  • Fraud Prevention: Suspicion of fraudulent payment, unauthorized use of discount codes, or “reseller” activity not authorized by us.
  • Harassment: Abusive, threatening, or harassing behavior toward our staff or family members.
  • Legal Compliance: Requests by law enforcement or other government agencies.
  1. Effect of Termination. Upon termination, your right to use our website and services ceases immediately. Any provisions of these Terms which, by their nature, should survive termination (including, but not limited to, the Arbitration Agreement, Limitation of Liability, No Medical Claims, and Ingredient Disclaimers) shall remain in full force and effect.
  1. Cancellation of Orders. If we terminate your account or cancel an order after payment has been processed, we will issue a refund to the original payment method, provided the termination was not due to fraudulent activity or a violation of law.

By signing up, you agree to receive recurring automated promotional and personalized marketing messages (e.g. – cart reminders) from ORSHO at the cell number/email address used when signing up. Consent is not a condition of any purchase. Reply HELP for help and STOP to cancel at any time. Msg frequency varies. Data obtained from you in connection with this program may include your cell phone number, your carrier’s name and the date, time and content of your messages. We may use this information to contact you and to provide the services you request from us.

  1. Miscellaneous

You represent and warrant that you shall comply with all laws and regulations that apply to your access and use of the Site and any Site-related services, including, but not limited to, any applicable national laws that prohibit the export or transmission of technical data or software to certain territories or jurisdictions.

We reserve the right to seek all remedies available at law and in equity for violations of these Terms, including the right to remove your account and any contents generated by you on the Site, block your access to the Site, block IP addresses.

Except as otherwise stated herein, if any provision of these Terms is held to be unenforceable, such provision shall be severed and the remaining Terms shall remain in full force and effect, unless the purpose of such term is frustrated.

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any right.
